Our firm ('we', 'us') provides strategic data migration, CRM implementation, data cleansing, system integration, and related consulting services ('Services') to clients ('you', 'Client') primarily in the Pittsburgh, PA metropolitan area.
2. Engagement Terms
All engagements begin with a signed Statement of Work (SOW) or engagement agreement. No work begins without written agreement on scope, timeline, and payment terms.
3. Payment
Projects are invoiced 50% upfront, 50% on delivery unless otherwise agreed in writing. Retainers are billed monthly in advance. Overdue invoices accrue 1.5% monthly interest after 15 days.
4. Intellectual Property
Upon receipt of final payment, all custom configurations and reports created for a project transfer to the Client. Pre-existing tools, scripts, and migration methodologies remain our intellectual property.
5. Confidentiality
We treat all client information and data as strictly confidential. We do not share business data, or system architecture with third parties. We readily sign Non-Disclosure Agreements (NDA) for all CRM transformation projects.
6. Limitation of Liability
Our liability for any claim arising from services provided shall not exceed the total fees paid in the 30 days prior to the claim. We are not liable for indirect, incidental, or consequential damages.
7. Governing Law
These terms are governed by the laws of the Commonwealth of Pennsylvania, United States. Disputes shall be resolved through binding arbitration in Pittsburgh, PA.
8. Changes to Terms
